These Service Terms (“Terms”) govern creator acquisition services provided by Kogmus AI(“Kogmus,” “we,” or “us”) to the customer identified at checkout (“Customer” or “you”). By submitting a campaign brief, you confirm that you are authorized to bind the Customer and agree to these Terms.
1. The service
Kogmus provides a project-based, AI-assisted creator research and recruitment service with human review. Depending on the purchased plan, work may include product and audience analysis, creator research, scoring, quality review, outreach, follow-ups, response triage and initial negotiation. Your order confirmation, plan description, Creator Credits and approved campaign brief define the scope.
One Creator Credit represents one creator researched, approved through Kogmus review, added to the campaign and validly contacted. A credit does not guarantee a reply, interest, agreement, post or sale.
2. AI and human involvement
Artificial intelligence may assist with research, analysis, matching, scoring, drafting and workflow execution. Human operators may review, correct, approve or perform portions of the work. Kogmus is not fully autonomous, error-free or a substitute for your commercial, compliance or legal judgment.
3. Data and estimates
Creator, audience, engagement, revenue, sales, GMV and other commercial signals may come from public sources, platforms or data providers and may be estimated, modeled, delayed, incomplete or inaccurate. They are used for prioritization and are not audited facts or predictions. You must evaluate each creator before making a decision.
4. Independent creators and no performance guarantee
Creators are independent third parties, not employees, partners or agents of Kogmus. We do not control whether they reply, accept terms, sign an agreement, publish content, meet deadlines or produce results. Final agreements, hires, posts, visits, views, engagement, bookings, sales, revenue, profit and return on investment are not guaranteed. The minimum interest guarantee below is the limited service remedy for eligible Local Outreach and Local Acquisition campaigns.
Local Outreach costs US$249 one time, starts with 10 qualified creators contacted and guarantees at least 3 interested creators. Local Acquisition costs US$449 one time, starts with 20 and guarantees at least 6 interested creators, including 3 qualified opportunities within your approved limits. An interested creator replies wanting to work with your business; interest is not acceptance of final terms. Duplicates, off-brief profiles and invalid contacts do not count. The guarantee applies when your offer to creators includes a fee and you answer approval requests within two business days.
5. Your approval and creator relationship
Kogmus may discuss initial terms only within the limits in your approved brief. We cannot accept final terms, sign contracts, authorize payments, commit inventory or samples, or exceed approved fee, commission, deliverable, exclusivity or usage-rights limits. You approve every final deal in writing, contract with creators directly and remain responsible for diligence, payment, taxes, samples, logistics, content approval and ongoing creator management.
6. Customer responsibilities
You must provide accurate, complete and authorized information, instructions, brand materials and approvals. You are responsible for the legality and substantiation of product claims, advertising instructions and disclosures, including sponsorship, affiliate and gifted-product disclosures. Tell us before outreach about regulated products, prohibited claims, restricted categories and brand-safety rules. We may refuse or pause deceptive, unsafe, unlawful or out-of-scope work.
7. Fees and third-party costs
Kogmus plans are one-time service purchases unless an order expressly states otherwise. Creator fees, commissions, samples, products, shipping, duties, taxes, paid media, production, platform fees and usage-rights payments are separate and paid directly by you.
8. Cancellation and refunds
You may request cancellation by emailing contact@kogmus.com. A full refund of the Kogmus fee is available before the first valid creator contact. After the first valid contact, unused paid Creator Credits are refundable proportionally. Creator compensation and third-party costs are separate.
If Kogmus cancels an order for reasons not caused by your breach, missing information, delayed approval or unlawful instructions, we will refund the reasonable portion of the Kogmus fee attributable to work not performed. Third-party costs are governed by the third party’s terms and are not refundable by Kogmus. Mandatory rights that cannot legally be waived remain unaffected.
If the minimum interest threshold is not met by the end of the 10-business-day outreach window, Kogmus continues contacting new qualified creators at no additional Kogmus cost. If the minimum still cannot be reached after that additional outreach, Kogmus refunds the full Kogmus service fee. For Local Acquisition, both the 6 interested creators and the 3 within your approved limits are required. This remedy does not guarantee final creator acceptance, posts, visits or sales. 9. Timing, pauses and completion
Work begins after payment, complete onboarding and readiness review. The first valid contact is due within two business days of a complete, approved brief, followed by a 10-business-day outreach window. Stated timelines pause while information, approvals, access or responses required from you are missing. The project ends when the purchased credits, outreach, follow-ups, included negotiation, applicable additional outreach or guarantee remedy and final handoff are complete. Material changes to product, audience, territory or commercial terms may require a new order or add-on.
10. Outreach and platform rules
You authorize Kogmus to contact creators through the identity, channels and campaign parameters in your brief. Both parties must use truthful sender information and honor opt-out or do-not-contact requests. We may change, limit or stop a channel when required for compliance, platform rules, deliverability or risk control. Third-party platforms and data providers may change or become unavailable without notice.
11. Confidentiality, data and intellectual property
Each party will use the other party’s non-public information only for the service and protect it with reasonable care. Our handling of personal information is described in the Privacy Notice. You retain your brand materials and grant us a limited right to use them to perform the service. Kogmus retains its pre-existing methods, scoring systems, prompts, workflows, templates and know-how. After payment, you may use campaign-specific reports and deal sheets internally, subject to third-party data restrictions.
12. Disclaimer and liability
The service and deliverables are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Kogmus disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. To the fullest extent permitted by law, Kogmus will not be liable for indirect, incidental, special, consequential or lost-profit damages. Kogmus’s total liability arising from an affected order will not exceed the Kogmus service fee you paid for that order. These limits do not apply where the law prohibits them.
13. Customer indemnity
To the extent permitted by law, you will defend and indemnify Kogmus from third-party claims caused by your product, claims, materials, final creator agreement, unlawful instructions or breach of these Terms, except to the extent caused by Kogmus’s own breach or misconduct.
14. Suspension and termination
Either party may end the project for a material breach that is not corrected after reasonable notice. Kogmus may immediately suspend unsafe, deceptive, unlawful, abusive or platform-violating activity. Sections that by their nature should survive termination—including payment, confidentiality, ownership, disclaimers and liability limits—will survive.
15. General terms
These Terms, the order and approved campaign brief form the agreement for the service. If a part is unenforceable, the remaining terms continue. Neither party is liable for delay caused by events reasonably outside its control. You may not transfer the order without our written consent. We may update these Terms prospectively; the version accepted for an order continues to govern that order unless both parties agree otherwise. Applicable mandatory law controls where it cannot be varied by contract.
